1. Who you are contracting with
These Terms govern your use of oI Studio (the "Service"), provided by Arcset ("Arcset", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
oI Studio is a business operations platform for service businesses, including CRM, scheduling, invoicing, indicators, and related tools. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. We may add, remove, or change features at any time.
3. Acceptable use
You agree not to misuse the Service, including by:
- Using it for any unlawful, fraudulent, or harmful purpose;
- Sending spam or unsolicited communications through the Service;
- Infringing the intellectual property or privacy rights of others;
- Attempting to interfere with the security or integrity of the Service, including probing, scanning, scraping, or introducing malware;
- Reverse-engineering, reselling, or redistributing the Service without our written consent;
- Circumventing technical limits, rate limits, or access controls.
You are responsible for the confidentiality of your account credentials and for all activity under your account, and you must keep your account information accurate and up to date.
4. Your content
You retain ownership of the data and content you upload to the Service ("Customer Data"). You grant Arcset a limited license to host, process, and transmit Customer Data solely as needed to provide the Service. You are responsible for ensuring you have the right to upload and use Customer Data.
5. Intellectual property
Arcset and its licensors retain all rights, title, and interest in and to the Service, including all software, documentation, branding, and underlying intellectual property. No rights are granted other than those expressly stated in these Terms.
6. Payment, billing, and refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.
Subscriptions renew automatically at the end of each billing period unless canceled. Refunds are handled in accordance with our Refund Policy.
7. Service level
We work hard to keep the Service available, but we do not guarantee that it will be uninterrupted, error-free, or secure against every conceivable threat. To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose.
8. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts due, create security or fraud risk, or repeatedly or seriously violate our policies. You may cancel your subscription at any time through your account or via Paddle. Upon termination, you will have a reasonable window to export your data before it is deleted.
9. Liability
To the fullest extent permitted by law, Arcset's aggregate liability arising from or relating to the Service is capped at the fees you paid to Paddle for the Service in the 12 months preceding the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, goodwill, or business opportunity. Nothing in these Terms limits liability for fraud, gross negligence, death, or personal injury caused by negligence, where such limitation is not permitted by law.
You agree to indemnify Arcset against claims arising out of your Customer Data, your unlawful use of the Service, or your breach of these Terms.
10. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law rules. Disputes will be resolved in the courts of Ontario, except where applicable law requires otherwise.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
